DAY HIKE AMBASSADOR VOLUNTEER AGREEMENT
1. Volunteer Status
The Ambassador acknowledges that they serve in a volunteer capacity and are not an employee, contractor, partner, or agent of Day Hike. No wages, compensation, or employment-related benefits (including workers’ compensation or unemployment coverage) are provided for their participation.
2. Purpose and Role
The Ambassador agrees to represent Day Hike by promoting outdoor activities, engaging with the community, and supporting events or campaigns in a positive, responsible, and professional manner consistent with the Company’s mission and values.
3. Assumption of Risk
The Ambassador understands that participation in outdoor and community activities involves inherent risks, including injury, illness, property loss, and other hazards. The Ambassador voluntarily assumes all risks associated with participation in any Day Hike-related event or activity, whether organized by Day Hike or third parties.
4. Waiver and Release of Liability
The Ambassador, on behalf of themselves and their heirs, successors, and assigns, hereby waives, releases, and forever discharges Day Hike, Inc and its affiliates, members, employees, officers, and partners from any and all claims, damages, or causes of action arising from participation in Day Hike activities or events; the acts, omissions, or negligence of others; or any loss, injury, or damage to person or property related to such participation.
5. Indemnification
The Ambassador agrees to defend, indemnify, and hold harmless Day Hike, Inc, its affiliates, and their respective officers, employees, and partners from and against any and all claims, liabilities, losses, or expenses (including reasonable attorney’s fees) arising from the Ambassador’s acts, omissions, or negligence; breach of this Agreement or violation of law; or misuse of Day Hike intellectual property, brand, or confidential information.
6. Ownership of Content and Intellectual Property
Any materials, photographs, videos, posts, written content, or creative works (collectively, “Content”) created or shared by the Ambassador in connection with their role shall be considered the property of Day Hike, Inc. The Ambassador grants Day Hike a perpetual, royalty-free, worldwide, and irrevocable license to use, reproduce, modify, publish, and distribute such Content for any lawful business, marketing, or promotional purpose. Ambassadors may repost approved materials for personal or social sharing but may not sell, license, or otherwise exploit Day Hike-related content for personal gain without written consent.
7. Confidentiality
The Ambassador may be given access to confidential or proprietary information belonging to Day Hike, including but not limited to marketing strategies, business operations, partner information, software, or event details. The Ambassador agrees to maintain confidentiality of such information both during and after their volunteer service; not disclose or share any proprietary information to third parties without prior written consent; and return or destroy any confidential materials upon termination of the relationship.
8. Reporting Obligations
Ambassadors must promptly report to Day Hike any safety concerns, incidents, or injuries occurring during Day Hike-related events; violations of this Agreement; or misconduct, harassment, or discrimination observed or experienced at any event or online engagement. Reports should be submitted directly to ambassadors@dayhike.com or through the designated Day Hike contact.
9. Termination of Relationship
Day Hike reserves the right to terminate or modify the Ambassador relationship at any time, with or without cause or notice. Upon termination, the Ambassador agrees to cease representing themselves as affiliated with Day Hike, return or remove any Day Hike-branded materials, and delete or refrain from using any unpublished or internal Company information.
10. Code of Conduct
Ambassadors agree to conduct themselves professionally and respectfully at all times; follow all laws, event rules, and safety protocols; avoid unsafe, discriminatory, or harassing behavior; and not represent themselves as an agent or authorized spokesperson for Day Hike.
11. Media Release
The Ambassador grants Day Hike permission to use their name, image, likeness, voice, and Content in promotional materials, media campaigns, or other forms of communication, in any medium, without additional notice or compensation.
12. Independent Activities Disclaimer
The Ambassador acknowledges that any activities or events organized independently (not officially sanctioned or coordinated by Day Hike) are done at the Ambassador’s own risk and expense. Day Hike assumes no responsibility or liability for independently organized gatherings, hikes, meetups, or social events, even if they involve Day Hike users or branding.
13. Brand and Trademark Use
The Ambassador may only use Day Hike’s name, logo, and branding materials in ways specifically approved in writing by Day Hike. Any unauthorized use, modification, or reproduction of Day Hike’s trademarks, branding, or imagery is strictly prohibited.
14. Non-Disparagement
The Ambassador agrees not to make, publish, or communicate any statement that disparages, defames, or negatively portrays Day Hike, its employees, affiliates, or partners. This obligation survives termination of this Agreement.
15. Safety and Compliance
The Ambassador agrees to follow all local laws, park regulations, and safety requirements during Day Hike events and acknowledges that Day Hike may revoke ambassador privileges for unsafe or unlawful behavior.
16. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Electronic Acceptance
The Ambassador agrees that electronic acceptance or digital signature of this Agreement shall be deemed as valid and binding as a physical signature.
18. Term and Survival
This Agreement remains in effect for the duration of the Ambassador’s service unless terminated earlier by either party. Sections 3 through 8, and 11 through 17, shall survive termination.
19. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict-of-law principles.
20. Entire Agreement and Electronic Acceptance
This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, concerning the subject matter herein. No modification or amendment of this Agreement shall be valid unless made in writing and signed (or electronically accepted) by both parties.
The parties agree that this Agreement may be executed and accepted electronically by web-based acceptance form, or other electronic acknowledgment methods. Such electronic acceptance shall have the same legal force and effect as a handwritten signature.
Each party acknowledges that they have had the opportunity to review this Agreement, seek independent advice if desired, and voluntarily agree to be bound by its terms through electronic acceptance.
