DAY HIKE AMBASSADOR VOLUNTEER AGREEMENT

This Day Hike Ambassador Volunteer Agreement the “Agreement” applies to participation in the Day Hike Volunteer Ambassador Program operated by Day Hike, Inc. “Day Hike,” “Company,” “we,” “us,” or “our.” By applying for, accepting, accessing, or using any Day Hike ambassador account, Day Hike email account, Outdoor Prolink access, partner discount, ambassador benefit, program resource, event access, digital platform, or related volunteer ambassador opportunity, the individual participant “Ambassador,” “you,” or “your” acknowledges and agrees to be bound by this Agreement.

1. Volunteer Status

The Ambassador acknowledges that they serve in a volunteer capacity and are not an employee, contractor, partner, joint venturer, franchisee, legal representative, or agent of Day Hike. No wages, compensation, salary, commission, employment-related benefits, workers’ compensation coverage, unemployment coverage, health benefits, retirement benefits, or other employee benefits are provided for participation in the Day Hike Volunteer Ambassador Program. The Ambassador understands that participation is voluntary and that any ambassador benefits, partner discounts, community recognition, event access, promotional opportunities, or other program-related opportunities are discretionary and do not create an employment, contractor, agency, or compensation relationship.

2. Purpose and Role

The Ambassador agrees to represent Day Hike by promoting outdoor activities, engaging with the community, supporting events or campaigns, helping introduce others to Day Hike, and encouraging responsible outdoor participation in a positive, respectful, and professional manner consistent with Day Hike’s mission and values. Ambassadors may, from time to time, participate in activities such as sharing Day Hike with friends or local communities, attending or supporting events, creating or joining activity-based groups, posting outdoor-related content, helping promote the Day Hike app, participating in ambassador meetups, or supporting community engagement efforts. Unless expressly authorized in writing by Day Hike, the Ambassador may not represent themselves as an official spokesperson, employee, contractor, agent, legal representative, or authorized decision-maker of Day Hike.

3. Assumption of Risk

The Ambassador understands that participation in outdoor, recreational, social, travel, volunteer, promotional, community, and event-related activities involves inherent and unavoidable risks, including but not limited to injury, illness, property loss, weather exposure, terrain hazards, wildlife encounters, transportation risks, third-party conduct, equipment failure, communication limitations, and other hazards. The Ambassador voluntarily assumes all risks associated with participation in any Day Hike-related event, activity, meetup, campaign, ambassador activity, or community engagement, whether organized by Day Hike, organized by third parties, organized independently by Ambassadors, or informally connected to the Day Hike community. The Ambassador is responsible for exercising good judgment, following applicable laws and safety rules, assessing their own physical ability and preparedness, using appropriate equipment, and deciding whether to participate in any activity.

4. Waiver and Release of Liability

The Ambassador, on behalf of themselves and their heirs, successors, representatives, and assigns, hereby waives, releases, and forever discharges Day Hike, Inc., its affiliates, officers, directors, employees, contractors, volunteers, partners, sponsors, service providers, and representatives from any and all claims, damages, demands, liabilities, losses, costs, or causes of action arising out of or related to: participation in Day Hike activities, ambassador activities, outdoor activities, events, meetups, campaigns, or community engagements; the acts, omissions, negligence, or misconduct of other participants, users, Ambassadors, third parties, partners, sponsors, or service providers; any loss, injury, illness, death, damage, theft, or harm to person or property; use of the Day Hike app, website, platform, ambassador resources, partner benefits, or related program resources; participation in activities organized independently by Ambassadors, users, or third parties; or any other activity connected to the Day Hike Volunteer Ambassador Program. This release applies to the fullest extent permitted by applicable law.

5. Indemnification

The Ambassador agrees to defend, indemnify, and hold harmless Day Hike, Inc., its affiliates, officers, directors, employees, contractors, volunteers, partners, sponsors, service providers, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or related to: the Ambassador’s acts, omissions, negligence, misconduct, or violation of law; the Ambassador’s breach of this Agreement or any Day Hike policy; the Ambassador’s misuse of Day Hike intellectual property, brand assets, confidential information, accounts, email access, partner benefits, or program resources; the Ambassador’s communications, statements, posts, events, meetups, or interactions with other individuals; claims made by third parties arising from the Ambassador’s participation in the program; or unauthorized use or sharing of partner discounts, Outdoor Prolink access, Day Hike credentials, or other program benefits.

6. Ownership of Content and Intellectual Property

Any materials, photographs, videos, posts, written content, social media content, creative works, testimonials, feedback, ideas, suggestions, or other content created, submitted, posted, shared, or provided by the Ambassador in connection with Day Hike, the Day Hike Volunteer Ambassador Program, ambassador activities, Day Hike events, Day Hike campaigns, or Day Hike-related promotions are collectively referred to as “Content.” The Ambassador grants Day Hike a perpetual, royalty-free, worldwide, sublicensable, transferable, and irrevocable license to use, reproduce, modify, edit, publish, distribute, display, perform, create derivative works from, and otherwise exploit such Content for any lawful business, marketing, promotional, operational, fundraising, investor, community, or program-related purpose. Ambassadors may repost approved Day Hike materials for personal or social sharing, but may not sell, license, monetize, or otherwise exploit Day Hike-related content, materials, trademarks, logos, graphics, or other intellectual property for personal gain without prior written consent from Day Hike. Nothing in this Agreement transfers ownership of Day Hike’s trademarks, logos, app, website, platform, software, content, business materials, brand assets, confidential information, or other intellectual property to the Ambassador.

7. Confidentiality

The Ambassador may be given access to confidential, private, proprietary, non-public, or sensitive information belonging to Day Hike, including but not limited to marketing strategies, business operations, user information, partner information, sponsor information, software, technical information, product plans, event details, program materials, pricing, internal communications, unpublished features, or business opportunities. The Ambassador agrees to maintain the confidentiality of such information both during and after their participation in the Day Hike Volunteer Ambassador Program. The Ambassador may not disclose, publish, copy, distribute, misuse, or share confidential or proprietary information with any third party without prior written consent from Day Hike. Upon termination of participation, or upon request by Day Hike, the Ambassador agrees to return, delete, or destroy any confidential materials, internal communications, documents, files, credentials, or other Day Hike materials in their possession or control.

8. Reporting Obligations

Ambassadors must promptly report to Day Hike any safety concerns, incidents, injuries, misconduct, harassment, discrimination, misuse of Day Hike resources, unauthorized use of Day Hike branding, suspected misuse of partner benefits, suspected account compromise, or violations of this Agreement. Reports should be submitted directly to ambassadors@dayhike.com or through another designated Day Hike contact. The Ambassador agrees to cooperate reasonably with Day Hike in reviewing, responding to, or addressing any incident, complaint, safety concern, misuse, or violation related to the Day Hike Volunteer Ambassador Program.

9. Termination of Relationship

Day Hike reserves the right to terminate, modify, pause, suspend, revoke, or limit the Ambassador relationship at any time, with or without cause or notice, to the fullest extent permitted by law. The Ambassador may also stop participating in the Day Hike Volunteer Ambassador Program at any time. Upon termination, suspension, or request by Day Hike, the Ambassador agrees to: stop representing themselves as affiliated with Day Hike; stop using Day Hike accounts, email addresses, credentials, internal materials, program resources, partner benefits, or ambassador access; return, delete, or stop using any Day Hike-branded materials or unpublished information as instructed by Day Hike; stop using Day Hike’s name, logo, trademarks, or branding except as expressly allowed in writing; and comply with any post-termination obligations in this Agreement. Termination does not affect any rights or obligations that accrued before termination or any provisions that survive termination.

10. Code of Conduct

Ambassadors agree to conduct themselves professionally, respectfully, responsibly, and lawfully at all times when participating in Day Hike-related activities, using Day Hike resources, interacting with the Day Hike community, or representing any affiliation with Day Hike. Ambassadors agree to: follow all applicable laws, event rules, park regulations, partner rules, platform rules, and safety protocols; avoid unsafe, discriminatory, harassing, abusive, threatening, fraudulent, misleading, or unlawful behavior; communicate respectfully with Day Hike users, employees, volunteers, partners, sponsors, and community members; avoid conduct that could harm Day Hike’s reputation, community, users, partners, sponsors, or goodwill; avoid misrepresenting their authority, role, or relationship with Day Hike; avoid using Day Hike resources for spam, harassment, personal commercial activity, or unrelated business purposes; and comply with this Agreement and any additional ambassador program guidelines provided by Day Hike. Day Hike may remove, suspend, or revoke ambassador privileges for conduct that Day Hike determines, in its discretion, is inconsistent with this Agreement, program guidelines, community safety, or Day Hike’s mission and values.

11. Media Release

The Ambassador grants Day Hike permission to use the Ambassador’s name, image, likeness, voice, biographical information, statements, testimonials, photographs, videos, Content, social media handles, and other identifying materials in promotional materials, media campaigns, websites, social media, investor materials, sponsor materials, community updates, presentations, advertisements, and other communications, in any medium, without additional notice or compensation. The Ambassador understands that Day Hike may edit, modify, combine, publish, distribute, and use such materials for lawful business, marketing, promotional, community, fundraising, investor, or program-related purposes.

12. Independent Activities Disclaimer

The Ambassador acknowledges that any activities, events, hikes, meetups, social gatherings, or outdoor activities organized independently by the Ambassador, by users, or by third parties, and not officially sanctioned, approved, or coordinated by Day Hike, are conducted at the Ambassador’s own risk and expense. Day Hike assumes no responsibility or liability for independently organized gatherings, hikes, meetups, social events, travel, transportation, outdoor activities, or interactions, even if they involve Day Hike users, Day Hike community members, Day Hike branding, or individuals who met through Day Hike. Ambassadors may not represent an independently organized activity as an official Day Hike event unless expressly authorized in writing by Day Hike.

13. Brand and Trademark Use

The Ambassador may only use Day Hike’s name, logo, trademarks, branding materials, graphics, slogans, images, or other brand assets in ways specifically approved by Day Hike. Any unauthorized use, modification, reproduction, sale, licensing, registration, or misuse of Day Hike’s trademarks, branding, imagery, or other intellectual property is strictly prohibited. The Ambassador may not create websites, social media accounts, merchandise, advertisements, paid promotions, sponsorship materials, event materials, or other public-facing materials using Day Hike branding without prior written approval from Day Hike. Day Hike may require the Ambassador to remove, revise, or stop using any content, materials, statements, posts, or branding that Day Hike determines are inaccurate, unauthorized, misleading, unsafe, inappropriate, or inconsistent with Day Hike’s brand or program guidelines.

14. Non-Disparagement

The Ambassador agrees not to make, publish, post, or communicate any statement that is knowingly false or that unlawfully disparages, defames, or negatively portrays Day Hike, its employees, officers, directors, affiliates, partners, sponsors, volunteers, users, or community. Nothing in this section is intended to limit rights that cannot lawfully be restricted, including legally protected communications, truthful statements required by law, or communications with government agencies. This obligation survives termination of this Agreement.

15. Safety and Compliance

The Ambassador agrees to follow all local laws, park regulations, trail rules, land-use restrictions, safety requirements, event rules, partner rules, and applicable Day Hike policies during Day Hike-related activities. The Ambassador acknowledges that Day Hike may revoke, suspend, or limit ambassador privileges for unsafe, unlawful, reckless, abusive, or non-compliant behavior. The Ambassador is responsible for evaluating their own health, fitness, experience, skill level, equipment, transportation, weather conditions, terrain, and other risks before participating in any activity. The Ambassador agrees not to encourage others to participate in unsafe, unlawful, unauthorized, or inappropriate outdoor activities.

16. Ambassador Benefits and Partner Programs

Any ambassador benefits, partner discounts, Outdoor Prolink access, gear, swag, event invitations, community recognition, early access, networking opportunities, promotional opportunities, or other program benefits are discretionary, limited, subject to availability, subject to partner approval, and not guaranteed. Day Hike may modify, suspend, revoke, limit, or discontinue any ambassador benefit, partner program access, discount, offer, event opportunity, promotional opportunity, or related program benefit at any time, with or without notice, to the fullest extent permitted by law. Participation in the Day Hike Volunteer Ambassador Program does not guarantee access to any specific discount, product, partner benefit, event, promotional opportunity, sponsorship, compensation, employment, contractor relationship, or future business opportunity. As the Day Hike Volunteer Ambassador Program evolves, Day Hike may update eligibility criteria, participation requirements, application questions, approval processes, ambassador tiers, benefit availability, program guidelines, partner access requirements, onboarding requirements, or renewal requirements. Ambassadors may be asked to reapply, update their application information, confirm continued eligibility, accept updated terms, or complete additional onboarding steps in order to continue participating in the program or accessing certain benefits. Day Hike may approve, decline, pause, renew, or discontinue an Ambassador’s participation in the program at its discretion, subject to applicable law. Ambassadors are responsible for complying with all applicable partner program terms, including any Outdoor Prolink rules, brand rules, discount restrictions, resale restrictions, confidentiality requirements, eligibility requirements, account rules, or use limitations. Partner benefits are generally intended for the individual Ambassador only unless a partner expressly allows friends, family, or other third-party use. The Ambassador may not resell, transfer, misuse, share, or exploit partner benefits, discount access, or program privileges in violation of Day Hike rules or partner program rules.

17. Day Hike Email, Account, and Program Resource Access

If Day Hike provides the Ambassador with a Day Hike email account, login credential, platform access, partner access, Outdoor Prolink access, administrative access, beta access, event access, internal communications access, or any other program account or resource, the Ambassador agrees to use such access only for authorized Day Hike-related volunteer ambassador activities. The Ambassador may not: share login credentials; transfer access; allow another person to use their account; use the account for personal business unrelated to Day Hike; use the account for unlawful, misleading, fraudulent, abusive, or unauthorized activity; misrepresent their authority to act on behalf of Day Hike; access information or systems they are not authorized to access; use Day Hike accounts or resources for spam, harassment, unrelated commercial activity, or personal gain; use any Day Hike account or resource in violation of law, partner rules, Day Hike policies, or this Agreement. The Ambassador agrees to maintain the confidentiality and security of any login credentials provided by Day Hike and to promptly notify Day Hike if they believe an account, password, credential, device, partner access, or program resource has been lost, stolen, accessed without authorization, or otherwise compromised. Day Hike may suspend, monitor, modify, restrict, or revoke access to any Day Hike email account, login credential, platform access, partner access, program resource, or ambassador benefit at any time, subject to applicable law. Upon termination of ambassador participation, or upon request by Day Hike, the Ambassador must stop using and return, delete, or discontinue access to any Day Hike accounts, credentials, materials, resources, partner benefits, or internal information as instructed by Day Hike.

18. Acceptance by Application, Access, or Use

By applying for, accepting, accessing, or using any Day Hike ambassador account, Day Hike email account, Outdoor Prolink access, partner discount, ambassador benefit, program resource, event access, digital platform, or related volunteer ambassador opportunity after receiving notice of this Agreement, the Ambassador acknowledges and agrees that they are participating in the Day Hike Volunteer Ambassador Program and agree to be bound by the full Day Hike Ambassador Volunteer Agreement. This includes, without limitation, the provisions regarding volunteer status, purpose and role, assumption of risk, waiver and release of liability, indemnification, ownership of content and intellectual property, confidentiality, reporting obligations, termination of relationship, code of conduct, media release, independent activities, brand and trademark use, non-disparagement, safety and compliance, ambassador benefits and partner programs, Day Hike email/account/program resource access, electronic acceptance, term and survival, governing law, and the entire agreement. The Ambassador also agrees to comply with Day Hike’s Terms of Service, Privacy Policy, applicable partner program rules, and any additional ambassador program guidelines provided by Day Hike. If the Ambassador does not agree to this Agreement, they should not apply for, access, accept, or use any Day Hike ambassador account, Day Hike email account, Outdoor Prolink access, partner discount, ambassador benefit, program resource, event access, or related volunteer ambassador opportunity.

19. Electronic Acceptance and Program Access

This Agreement may be accepted electronically. The Ambassador agrees that electronic acceptance, digital signature, email acknowledgment, web-based acceptance form, continued participation, or use of Day Hike-provided ambassador resources after notice of this Agreement has the same legal effect as a handwritten signature, to the fullest extent permitted by law. Electronic acceptance, digital signature, email acknowledgment, web-based acceptance form, continued participation, or use of Day Hike-provided ambassador resources after notice of this Agreement may constitute acceptance of this Agreement to the fullest extent permitted by law. Day Hike may retain electronic records of acceptance, acknowledgment, access, participation, account usage, program communications, or related communications as evidence of the Ambassador’s agreement to these terms. Each party acknowledges that they have had the opportunity to review this Agreement, seek independent advice if desired, and voluntarily agree to be bound by its terms through application, access, use, electronic acceptance, email acknowledgment, web-based acceptance form, or continued participation.

20. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid, unlawful, or unenforceable provision shall be interpreted or modified to the minimum extent necessary to make it valid, lawful, and enforceable while preserving the original intent of the provision as much as possible.

21. Term and Survival

This Agreement remains in effect for the duration of the Ambassador’s participation in the Day Hike Volunteer Ambassador Program unless terminated earlier by either party. Any provisions that by their nature should survive termination shall survive, including but not limited to provisions regarding assumption of risk, waiver and release of liability, indemnification, ownership of content and intellectual property, confidentiality, reporting obligations, media release, independent activities, brand and trademark use, non-disparagement, safety and compliance, ambassador benefits and partner programs, Day Hike email/account/program resource access, acceptance by application/access/use, electronic acceptance, governing law, entire agreement, and any obligations related to misuse of Day Hike resources, confidential information, intellectual property, accounts, credentials, or partner benefits.

22. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict-of-law principles. To the fullest extent permitted by law, any dispute arising out of or relating to this Agreement, the Day Hike Volunteer Ambassador Program, or the Ambassador’s participation in the program shall be handled under applicable Wyoming law.

23. Updates to Agreement and Program Guidelines

Day Hike may update, revise, supplement, or replace this Agreement, the Day Hike Volunteer Ambassador Program, program guidelines, eligibility criteria, onboarding requirements, benefit terms, or partner access requirements from time to time. Updated terms may be provided by posting to the Day Hike website, email notice, web-based acknowledgment, app notice, program communication, or other reasonable method. Continued participation in the Day Hike Volunteer Ambassador Program, or continued access to Day Hike-provided ambassador resources or benefits after notice of updated terms, may constitute acceptance of the updated terms to the fullest extent permitted by law. If an Ambassador does not agree to updated terms, they should discontinue participation in the program and stop using any Day Hike ambassador resources, accounts, benefits, or partner access.

24. Entire Agreement

This Agreement constitutes the entire understanding between the Ambassador and Day Hike concerning participation in the Day Hike Volunteer Ambassador Program and supersedes all prior negotiations, representations, statements, understandings, or agreements, whether written or oral, concerning the subject matter of this Agreement. No modification or amendment of this Agreement shall be valid unless made in writing, posted by Day Hike as an updated agreement, or electronically accepted by the Ambassador through a method authorized by Day Hike. This Agreement applies together with Day Hike’s Terms of Service, Privacy Policy, applicable partner program rules, and any additional ambassador program guidelines provided by Day Hike. In the event of a conflict between this Agreement and general program communications, this Agreement shall control unless Day Hike expressly states otherwise in writing.

The Ambassador acknowledges that any activities or events organized independently (not officially sanctioned or coordinated by Day Hike) are done at the Ambassador’s own risk and expense. Day Hike assumes no responsibility or liability for independently organized gatherings, hikes, meetups, or social events, even if they involve Day Hike users or branding.

13. Brand and Trademark Use

The Ambassador may only use Day Hike’s name, logo, and branding materials in ways specifically approved in writing by Day Hike. Any unauthorized use, modification, or reproduction of Day Hike’s trademarks, branding, or imagery is strictly prohibited.

14. Non-Disparagement

The Ambassador agrees not to make, publish, or communicate any statement that disparages, defames, or negatively portrays Day Hike, its employees, affiliates, or partners. This obligation survives termination of this Agreement.

15. Safety and Compliance

The Ambassador agrees to follow all local laws, park regulations, and safety requirements during Day Hike events and acknowledges that Day Hike may revoke ambassador privileges for unsafe or unlawful behavior.

16. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Electronic Acceptance

The Ambassador agrees that electronic acceptance or digital signature of this Agreement shall be deemed as valid and binding as a physical signature.

18. Term and Survival

This Agreement remains in effect for the duration of the Ambassador’s service unless terminated earlier by either party. Sections 3 through 8, and 11 through 17, shall survive termination.

19. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict-of-law principles.

20. Entire Agreement and Electronic Acceptance

This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, concerning the subject matter herein. No modification or amendment of this Agreement shall be valid unless made in writing and signed (or electronically accepted) by both parties.

The parties agree that this Agreement may be executed and accepted electronically by web-based acceptance form, or other electronic acknowledgment methods. Such electronic acceptance shall have the same legal force and effect as a handwritten signature.

Each party acknowledges that they have had the opportunity to review this Agreement, seek independent advice if desired, and voluntarily agree to be bound by its terms through electronic acceptance.
